1. Agreement to these Terms

These Terms of Service ("Terms") are a contract between you and Market Catalysts, LLC ("Market Catalysts", "we", "us") and govern your use of marketcatalysts.com and our related services, content and features (the "Service"). By creating an account, starting a trial, subscribing or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. You must be at least 18 years old to create an account or subscribe.

2. Not Investment Advice

The Service provides general market research, data and educational content. Nothing on the Service is investment, financial, legal or tax advice, a recommendation to buy, sell or hold any security, or an offer or solicitation of any transaction. We are not a registered investment adviser or broker-dealer, and we do not consider your personal financial situation.

Model portfolios are hypothetical. Their returns do not reflect real trades, fees, taxes, slippage or the timing of any actual purchase or sale. Watch list levels (entry, target, stop), expected moves and past reactions are illustrations, not predictions. Past performance does not guarantee future results, and trading securities involves risk, including the loss of your principal. You are solely responsible for your investment decisions; do your own research and consult a licensed professional before acting.

Our team may hold positions in securities discussed on the Service and may trade them at any time.

3. Your Account

You agree to provide accurate information, keep it current, and keep your login credentials secure. Accounts are for one person. You are responsible for all activity under your account and must tell us promptly at kris@marketcatalysts.com if you suspect unauthorized use.

4. Free Preview and Premium

Some content is available without a subscription, such as a limited preview of our calendars, model portfolio performance, a sample watch list setup and the opening of each article. Full access to calendars, portfolios, watch lists and articles ("Premium") requires a paid subscription. A free account does not include Premium. We may change what is included in the free preview or in Premium at any time.

5. Subscriptions, Free Trials and Automatic Renewal

Plans and price. Premium is offered on monthly, six-month and annual plans at the prices shown on our pricing page at the time you subscribe, plus any applicable taxes. Payments are processed by our payment provider, Stripe; we do not store your full card number.

Free trial. First-time subscribers may receive a 7-day free trial. Trials are limited to one per person. You must provide a payment method to start a trial. Unless you cancel before the trial ends, your subscription begins automatically and your payment method is charged the price of the plan you chose.

Automatic renewal. Your subscription renews automatically at the end of each billing period (every month, six months or year, depending on your plan) and your payment method is charged the then-current price for that plan, until you cancel. By subscribing, you authorize us and Stripe to charge your payment method on each renewal date without further action from you.

Price changes. We may change subscription prices. We will tell you by email at least 30 days before a new price applies to your subscription, and the new price takes effect at your next renewal after that notice. If you don't want to pay the new price, you can cancel before it takes effect.

Failed payments. If a payment fails, we or Stripe may retry it. We may suspend Premium until payment succeeds, and may cancel your subscription if payment cannot be collected.

6. Cancellation

You can cancel at any time, online, from Account → Billing by clicking "Cancel Subscription", or by emailing kris@marketcatalysts.com. Cancellation stops all future renewals. If you cancel during a free trial, you will not be charged. If you cancel after a paid period has started, you keep Premium until the end of that period and are not charged again. Deleting your account cancels your subscription immediately and ends access right away.

7. Refunds

Except as stated in this section or where required by law, payments are non-refundable and we do not provide refunds or credits for partial periods. If you forget to cancel before a renewal, contact us at kris@marketcatalysts.com within 7 days of the renewal charge and we will refund that charge and end your subscription. If you were charged in error, contact us and we will correct it.

8. Complimentary Access

We may give some accounts Premium at no charge (for example, staff or partners). Complimentary access is not a paid subscription, does not renew or create any payment obligation, and may be changed or withdrawn by us at any time.

9. Acceptable Use

Premium content is for your personal, non-commercial use. You agree not to:

share your account or login, or let others access Premium through it;
copy, republish, sell, redistribute or publicly display Premium content, including portfolio holdings, watch list setups, calendar data and articles;
scrape, crawl or bulk-download the Service, or access it by automated means other than a standard web browser;
bypass, disable or interfere with paywalls, access controls or security features;
use the Service unlawfully or to harm others or the Service.

10. Market Data and Third-Party Content

Prices and market data are provided by third parties, may be delayed, and may contain errors or omissions. Event dates (such as earnings) are estimates that companies can change without notice. We do not guarantee the accuracy, completeness or timeliness of any data. Links and embedded content from third parties (such as videos) are governed by those parties' terms.

11. Intellectual Property

The Service and its content, features and functionality are owned by Market Catalysts, LLC and its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for your own use.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

13. Limitation of Liability

To the fullest extent permitted by law, Market Catalysts, LLC and its owners, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any trading or investment losses or lost profits, arising out of or related to the Service, even if advised of the possibility. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the 12 months before the claim arose, or $100 if you paid nothing. Some jurisdictions do not allow these limits, so they may not fully apply to you.

14. Indemnification

You agree to defend, indemnify and hold harmless Market Catalysts, LLC, its affiliates, licensors and service providers from any claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your misuse of the Service.

15. Suspension and Termination

We may suspend or terminate your access if you breach these Terms (for example, by sharing your account or redistributing Premium content), without a refund. Otherwise, if we discontinue Premium, we will refund the unused portion of any prepaid period. Sections that by their nature should survive termination (including 2, 7 and 9–17) will survive.

16. Changes to These Terms

We may update these Terms. If a change is material, we will notify you by email or on the Service before it takes effect. Continuing to use the Service after the effective date means you accept the updated Terms; if you do not agree, cancel your subscription and stop using the Service.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any dispute arising out of these Terms or the Service will be brought exclusively in the state or federal courts located in San Diego County, California, and you and we consent to their jurisdiction. Before filing a claim, you agree to contact us at kris@marketcatalysts.com and try to resolve it informally for at least 30 days.

18. Miscellaneous

These Terms and the Privacy Policy are the entire agreement between you and us about the Service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
